CANCELLATION & RESCHEDULING POLICY

This Cancellation & Rescheduling Policy works alongside the Terms of Service, Refund Policy, Client Services Agreement, and Project Guidelines of The Branding Shop Company LLC.
By approving a project, signing an agreement, making payment, booking a required meeting, or participating in project-related activity, you acknowledge that you have read, understood, and agreed to the terms below.
Because our services are time-bound, capacity-based, and operationally scheduled, cancellations, missed meetings, prolonged inactivity, and delayed Client participation can directly affect production flow, project availability, and completion timelines.
1. CLIENT CANCELLATION
A Client may request cancellation of an active project in writing through an approved business communication channel.
If a Client chooses to cancel after the project has been activated:
payments already made remain subject to the Refund Policy
work already completed remains billable and non-refundable
reserved production time may be considered earned
third-party expenses already incurred remain the Client’s responsibility
outstanding balances may remain due according to the approved project scope and payment schedule
Cancellation does not automatically eliminate remaining contractual or payment obligations.
2. CANCELLATION BEFORE PROJECT ACTIVATION
Submitting a project request through The Branding Shop Co. website does not activate a paid project.
A prospective Client may choose not to proceed during the project-review stage without a cancellation fee because no active paid engagement has begun.
Once the final scope is approved, required agreements are completed, and payment has been processed, the active-project cancellation terms apply.
3. MEETING RESCHEDULING
Clients may reschedule required meetings with reasonable advance notice.
Whenever possible, rescheduling requests should be submitted at least 24 hours before the scheduled meeting time.
Meeting availability is subject to the Company’s current schedule.
Rescheduling a meeting may affect the overall project timeline.
Repeated rescheduling may result in:
delayed project completion
loss of the originally reserved production window
project hold
additional scheduling requirements
or reassessment of the project timeline
4. MISSED MEETINGS
If a Client misses a scheduled meeting without reasonable notice, The Branding Shop Co. may require the meeting to be rescheduled based on current availability.
Repeated missed meetings may be considered a failure to participate in the project.
If missed meetings prevent reasonable project progress, the project may be placed on hold or archived under the inactivity terms below.
5. CLIENT RESPONSE EXPECTATIONS
Clients are responsible for responding to project-related requests within the timeframe communicated by The Branding Shop Co.
Unless another timeframe is provided, Clients should respond to required project communication, approvals, or requests within five (5) business days.
This includes requests for:
feedback
approvals
assets
account access
questionnaires
content
meeting confirmation
decisions
project tasks
and other information required to continue work
Client delays automatically extend the project timeline.
6. PROJECT INACTIVITY
The Branding Shop Co. does not keep projects open indefinitely when required Client participation is missing.
If the Client does not provide required information, feedback, approvals, communication, or participation for ten (10) consecutive business days, the project may be placed on Project Hold.
The Branding Shop Co. may send a notice informing the Client that the project has been placed on hold.
Once a project is on hold:
active production may stop
reserved production time may be released
scheduled completion dates are no longer guaranteed
pending meetings may be removed from the calendar
the Client may lose their original production position
7. EXTENDED INACTIVITY AND PROJECT ARCHIVING
If the Client remains inactive for thirty (30) consecutive calendar days, the project may be considered inactive and archived.
The Branding Shop Co. is not required to continue repeated follow-up attempts indefinitely.
Once a project is archived:
the project is removed from active production
reserved scheduling is released
outstanding tasks may be closed
the original timeline becomes void
future work is subject to current availability
access to certain project systems may be limited or closed
Archiving a project does not automatically cancel outstanding payment obligations.
8. FOLLOW-UP RESPONSIBILITY
The Branding Shop Co. may make reasonable attempts to contact the Client regarding missing information or inactivity.
However, the Company is not responsible for continuously chasing, reminding, or repeatedly contacting a Client who does not respond.
The Client remains responsible for monitoring approved communication channels and participating in the project.
Failure to respond does not transfer responsibility for project delays to The Branding Shop Co.
9. PROJECT REACTIVATION
An archived or inactive project may be eligible for reactivation at The Branding Shop Co.’s discretion.
Reactivation may require:
a written request from the Client
review of the remaining scope
a new timeline
current scheduling availability
updated pricing
updated platform requirements
submission of missing materials
payment of any outstanding balance
and, when applicable, a reactivation fee
The Branding Shop Co. is not required to restore the Client to their original production position.
10. REACTIVATION FEE
If a project is archived because of Client inactivity and the Client later requests to resume the project, The Branding Shop Co. may charge a reactivation fee to account for administrative work, rescheduling, project review, system re-entry, and production disruption.
Any applicable fee will be communicated before the project is reactivated.
11. LONG-TERM PROJECT DELAYS
If a Client-caused delay extends a project significantly beyond its original anticipated timeline, The Branding Shop Co. may reassess the project before work resumes.
This may include reviewing:
original deliverables
current business needs
software or platform changes
pricing
project requirements
remaining workload
technical compatibility
production availability
If the original scope is no longer practical because of the length of the delay, an updated scope or additional fee may be required.
12. CLIENT-REQUESTED PROJECT PAUSES
A Client may request a temporary project pause.
Approval is not automatic and depends on:
project stage
workload
production schedule
outstanding payments
requested pause length
A pause does not guarantee preservation of the original completion date or production position.
Projects paused for an extended period may be moved into inactive status and become subject to the reactivation terms in this Policy.
13. COMPANY-INITIATED PROJECT HOLDS
The Branding Shop Co. may place a project on hold when circumstances prevent reasonable progress.
This may include:
nonpayment
missing Client materials
lack of communication
missing approvals
repeated missed meetings
incomplete assigned tasks
unavailable access
unresolved scope issues
Client conduct that disrupts project operations
The project may remain on hold until the issue is resolved.
14. COMPANY CANCELLATION OR TERMINATION
The Branding Shop Co. may cancel or terminate an engagement when continued work is no longer reasonable or appropriate.
This may include circumstances involving:
nonpayment
prolonged inactivity
repeated boundary violations
harassment or abusive conduct
misrepresentation
failure to participate
illegal or prohibited activity
unreasonable scope demands
breakdown of the professional relationship
Any financial obligations or refund eligibility will be determined according to the applicable Client Services Agreement, Refund Policy, and work already completed.
15. PROJECT TIMELINES AFTER RESCHEDULING OR REACTIVATION
When a project is rescheduled, paused, held, archived, or reactivated, the original completion timeline is no longer guaranteed.
A revised timeline may be provided based on:
current availability
remaining project scope
Client readiness
workload
third-party dependencies
required updates
The Branding Shop Co. will make reasonable efforts to resume work efficiently but cannot guarantee immediate re-entry into production.
16. OUTSTANDING PAYMENTS DURING DELAYS
Client-caused delays, inactivity, rescheduling, or project holds do not automatically pause or cancel payment obligations.
Payments remain governed by the approved payment schedule and Client Services Agreement unless The Branding Shop Co. confirms a different arrangement in writing.
17. COMPLETION AND PROJECT CLOSURE
Once the approved deliverables have been completed and delivered, the project may be formally closed.
Clients are responsible for reviewing final materials and completing any remaining required actions within the communicated timeframe.
Failure to respond after final delivery does not require The Branding Shop Co. to keep the project open indefinitely.
After reasonable completion and delivery, the Company may close and archive the project even if the Client does not provide additional acknowledgment.
18. ACCEPTANCE
By approving a project, making payment, booking project-related meetings, or participating in an active project, you acknowledge and agree that:
project timelines depend on your participation
Client inactivity may result in a project hold
extended inactivity may result in project archiving
archived projects may require reactivation
original timelines are not guaranteed after Client-caused delays
The Branding Shop Co. is not required to conduct indefinite follow-up
payment obligations may continue during Client-caused delays
If you do not agree with these terms, do not proceed with an active project engagement.
