Welcome to The Branding Shop Co., a Creative Operations Studio.

These Terms of Service govern your use of our website, project request process, services, client systems, communications, and deliverables. They outline the structure, expectations, responsibilities, and protections that apply when you interact or work with The Branding Shop Co.

By submitting a project request, booking a Clarity Call or other session, accepting a project proposal or agreement, making a payment, submitting onboarding materials, or otherwise engaging with The Branding Shop Co., you acknowledge that you have read, understood, and agreed to the applicable terms below.

If anything is unclear, you are responsible for requesting clarification before approving your final project scope or making payment.

1. HOW WE WORK

The Branding Shop Co. operates as a Creative Operations Studio focused on strategy, structure, systems, digital experiences, creative execution, and implementation.

Our process is designed to help businesses identify what they actually need before a paid project begins.

The services displayed on our website allow prospective Clients to explore available solutions, understand estimated investment ranges, and submit desired services for review.

Submitting services through the website does not automatically create an active paid project.

Your selections are reviewed before your final scope, investment, timeline, and payment structure are confirmed.

2. OUR SERVICES

The Branding Shop Co. provides structured creative and digital operations services that may include:

  • brand identity and positioning

  • website design and optimization

  • ecommerce customer experience

  • email and SMS strategy and systems

  • lifecycle marketing

  • automation and operational systems

  • campaign strategy

  • creative direction

  • customer journey development

  • conversion-focused improvements

  • marketing infrastructure

  • implementation and execution support

Each productized service displayed on the website describes its general scope, purpose, deliverables, estimated investment, and any applicable limitations.

The services selected during the website project-request process represent the Client’s requested scope, not necessarily the final approved scope.

The Branding Shop Co. may recommend removing, replacing, combining, or adding services when necessary to better address the Client’s actual needs.

No additional work outside the approved final scope is included unless confirmed in writing.

Unless explicitly stated otherwise, services are project-based and are not ongoing retainers or continuous support arrangements.

3. PROJECT REQUESTS

Prospective Clients may use The Branding Shop Co. website to select one or more services they believe may fit their needs.

The prices displayed represent the estimated investment associated with those services.

When a project request is submitted through the website:

  • no payment is collected for custom project services at that time

  • selected services are submitted for review

  • the displayed subtotal represents the estimated value of the requested services

  • the final scope and investment may change after review

  • submission does not guarantee project acceptance

  • submission does not reserve a project start date

  • submission does not authorize work to begin

A project request may be approved as submitted, adjusted, referred for additional clarification, or declined.

4. PROJECT REVIEW AND SCOPE CONFIRMATION

After receiving a project request, The Branding Shop Co. may review the Client’s:

  • selected services

  • business information

  • website or existing digital presence

  • stated goals

  • timeline

  • current challenges

  • project readiness

If the requested services appear appropriate, the Client may proceed directly to the formal project setup process.

If the requested scope does not appear to be the best fit, The Branding Shop Co. may recommend an adjusted scope before payment is requested.

Additional conversation, clarification, or a Scope Review may be required before a final recommendation is made.

The purpose of this process is to reduce unnecessary purchases, incorrect project selections, avoidable refunds, and mismatched services.

5. PROJECT ACCEPTANCE

A project becomes an active Client engagement only after all required activation steps have been completed.

Depending on the project, this may include:

  • approval of the final scope

  • acceptance of a proposal or project agreement

  • execution of any required contract or authorization

  • completion of required payment

  • authorization of an approved payment method

  • completion of onboarding requirements

  • submission of required assets or access

Until these requirements are completed, The Branding Shop Co. is not obligated to reserve production time, begin work, or deliver services.

6. PAYMENT TERMS

Final project pricing is based on the approved scope provided after project review.

Payments for approved projects are processed through the designated Client billing system communicated by The Branding Shop Co.

Depending on the project, payment may be structured as:

  • payment in full

  • an initial payment followed by scheduled installments

  • another written payment structure approved by The Branding Shop Co.

The final payment schedule will be communicated before the project begins.

Work does not begin until any required initial payment has been successfully processed and required onboarding steps have been completed.

All payment obligations remain subject to the final approved scope and payment agreement.

7. PAYMENT METHOD AND CARD AUTHORIZATION

Clients may be required to maintain a valid payment method on file during an active project.

When applicable, the Client authorizes The Branding Shop Co. and its designated payment platform to process payments according to the approved invoice or payment schedule.

A saved payment method may only be charged in accordance with the Client’s agreed payment obligations and applicable authorization.

The Client is responsible for maintaining a valid payment method and ensuring scheduled payments can be successfully processed.

If a payment fails, becomes overdue, or cannot be processed, The Branding Shop Co. may immediately pause:

  • active work

  • meetings

  • revisions

  • deliverables

  • project access

  • production scheduling

Work may remain paused until the account is brought current.

8. PAYMENT PLANS

Payment plans may be available for select projects.

Availability, payment amounts, due dates, and installment frequency will be defined in the Client’s approved payment schedule.

By agreeing to a payment plan, the Client agrees to:

  • maintain a valid payment method

  • make all scheduled payments

  • comply with the agreed payment schedule

  • promptly resolve failed or declined payments

A payment plan divides the total investment into scheduled payments. It does not convert the project into a month-to-month service.

Unless otherwise stated in writing, the total approved project balance remains due according to the agreed schedule even if the Client causes delays, becomes unresponsive, or fails to complete required responsibilities.

The Branding Shop Co. may decline, limit, modify, or discontinue payment-plan availability at its discretion.

9. PROJECT ACTIVATION AND KICKOFF

A project is not considered active solely because a website project request has been submitted.

After the final scope is approved and required agreement and payment steps are completed, the Client may be invited to complete formal onboarding.

Onboarding may include:

  • questionnaires

  • project forms

  • asset submission

  • account access

  • scheduling

  • kickoff preparation

  • platform invitations

  • Client portal access

A kickoff meeting, when included, occurs after project acceptance and activation unless otherwise stated.

Projects will not begin until all required activation items have been completed.

10. CLIENT PORTAL AND PROJECT SYSTEMS

The Branding Shop Co. may use third-party project-management, billing, scheduling, file-sharing, communication, or Client portal systems to manage engagements.

Clients may receive access to a designated Client portal containing information such as:

  • project status

  • invoices

  • payment information

  • documents

  • files

  • forms

  • Client tasks

  • approvals

  • scheduling information

Clients are responsible for reviewing information provided through these systems and completing requested actions within the required timeframe.

11. RESULTS AND BUSINESS OUTCOMES

The Branding Shop Co. provides strategy, systems, creative execution, customer experience improvements, operational frameworks, and implementation designed to support stronger business performance.

However, we do not guarantee:

  • revenue

  • sales volume

  • conversion rates

  • audience growth

  • customer acquisition

  • profitability

  • platform performance

  • specific business outcomes

Business performance depends on factors outside The Branding Shop Co.’s control, including market conditions, pricing, customer demand, implementation, product quality, traffic, advertising, competition, and Client decisions.

12. CLIENT RESPONSIBILITIES

Clients agree to:

  • provide accurate and complete information

  • provide required assets and access

  • review deliverables within requested timelines

  • attend required meetings

  • complete assigned tasks

  • provide clear and timely feedback

  • maintain account and platform access

  • communicate changes that may affect project scope or timing

Client delays may extend the project timeline.

The Branding Shop Co. is not responsible for missed deadlines caused by delayed Client responses, missing assets, unavailable access, incomplete approvals, or other Client-side delays.

13. COMMUNICATION STRUCTURE

Official project communication may occur through:

  • email

  • the designated Client portal

  • business SMS

  • scheduled calls

  • other Company-approved communication channels

The Branding Shop Co. does not conduct official project communication through personal social media accounts or personal text messaging.

Business communication is addressed during published or communicated business hours.

Messages received outside business hours will be addressed during the next available business window.

14. SMS COMMUNICATIONS

By providing a mobile phone number, you consent to receive transactional SMS communications related to your inquiry, project request, onboarding, scheduling, billing, or active project.

These may include:

  • project-request notifications

  • scheduling reminders

  • payment notifications

  • asset requests

  • approval reminders

  • project updates

  • Client portal notifications

Message frequency varies.

Standard carrier message and data rates may apply.

You may opt out by replying STOP where supported.

Opting out of SMS does not eliminate your responsibility to monitor other official communication channels associated with your project.

15. TIMELINES

Project timelines are based on the approved scope and assume timely Client participation.

Estimated timelines may change due to:

  • delayed feedback

  • missing assets

  • scope changes

  • technical limitations

  • third-party platform issues

  • scheduling changes

  • circumstances outside reasonable control

Client-caused delays automatically extend the project timeline.

16. PROJECT HOLDS AND ABANDONMENT

A project may be placed on hold if the Client:

  • fails to make required payments

  • fails to submit required materials

  • does not complete assigned tasks

  • repeatedly misses required approvals

  • becomes unresponsive

  • otherwise prevents the project from moving forward

A project may be considered abandoned after thirty (30) consecutive days without required Client participation or communication.

Abandoned projects may be archived.

Restarting an archived project is subject to current availability and may require a reactivation fee, updated scope, or revised timeline.

17. REVISIONS

Revision allowances are determined by the approved project scope.

Revisions apply to adjustments within an already approved creative or strategic direction.

Revision requests do not include:

  • entirely new concepts

  • new strategic directions

  • major scope changes

  • additional pages

  • additional deliverables

  • new campaigns

  • new integrations

  • work not included in the approved project scope

Additional work may require a revised scope and additional payment.

18. SCOPE CHANGES

If project needs change after activation, The Branding Shop Co. may issue a revised scope, additional invoice, change order, or separate project recommendation.

No expanded work is required until the updated scope and applicable payment obligations have been approved.

19. IMPLEMENTATION

Implementation responsibilities vary by service and will be identified in the approved project scope.

When implementation is included, The Branding Shop Co. will complete the agreed implementation within the limits of the approved service.

When implementation is not included, the Client is responsible for applying recommendations following delivery.

The Branding Shop Co. is not responsible for errors, disruptions, data loss, performance issues, or other damages resulting from:

  • third-party platforms

  • Client modifications

  • unauthorized changes

  • platform updates

  • third-party plugins or applications

  • implementation performed outside the approved scope

20. INTELLECTUAL PROPERTY

All project materials remain the intellectual property of The Branding Shop Co. until all required payments associated with the applicable deliverables have been received.

Upon full payment, the Client receives the usage rights stated in the approved project agreement or service scope for final approved deliverables.

The Branding Shop Co. retains ownership of its:

  • methods

  • frameworks

  • internal systems

  • workflows

  • templates

  • processes

  • strategy structures

  • proprietary documentation

  • operating methods

Clients may not reproduce, resell, distribute, reverse engineer, commercially exploit, or represent these proprietary systems as their own.

Unless otherwise agreed in writing, The Branding Shop Co. may display completed Client work for portfolio, educational, marketing, and promotional purposes.

21. FILE DELIVERY AND STORAGE

Final files are delivered digitally unless otherwise stated.

Clients are responsible for downloading, maintaining, and securely storing final deliverables.

The Branding Shop Co. does not guarantee indefinite file or Client portal storage after a project has been completed, closed, or archived.

22. AI TRANSPARENCY

The Branding Shop Co. may use artificial intelligence and automation tools to support research, planning, workflow efficiency, production, quality control, and internal operations.

AI-assisted outputs are subject to human review and refinement where appropriate.

Internal prompts, workflows, automation systems, methods, processes, and proprietary structures remain the intellectual property of The Branding Shop Co.

23. ACCESS AND SECURITY

Clients are responsible for:

  • providing accurate access information

  • granting appropriate platform permissions

  • protecting account credentials

  • maintaining account security

  • removing or updating access after project completion where appropriate

The Branding Shop Co. will make reasonable efforts to protect Client credentials and access information but cannot guarantee the security or availability of third-party platforms.

Clients should use secure access-sharing methods whenever available.

24. REFUNDS

Submitting a $0 project request through the website does not constitute a paid transaction and therefore does not create a refund obligation.

Once an approved project has been activated and payment has been processed, refund eligibility is governed by the applicable project agreement, refund policy, scope, and stage of work completed.

Payments for completed work, work already performed, reserved production time, strategy, research, or other non-recoverable project activity may be non-refundable.

Any discretionary refund does not waive any remaining contractual obligations unless expressly confirmed in writing.

25. PAYMENT DISPUTES AND CHARGEBACKS

Clients agree to contact The Branding Shop Co. regarding billing concerns before initiating a payment dispute or chargeback whenever reasonably possible.

If a payment dispute or chargeback is initiated:

  • active work may be immediately paused

  • deliverables may be withheld

  • Client portal access may be limited

  • project scheduling may be suspended

The Branding Shop Co. reserves the right to provide applicable agreements, payment authorizations, invoices, correspondence, project records, delivery records, and these Terms as evidence in response to a dispute.

Nothing in this section waives any rights a Client may have under applicable law or card-network rules.

26. THIRD-PARTY SERVICES AND PLATFORMS

The Branding Shop Co. may use or recommend third-party software, platforms, applications, processors, integrations, plugins, or service providers.

The Branding Shop Co. is not responsible for:

  • third-party outages

  • policy changes

  • subscription price changes

  • platform limitations

  • lost data caused by third parties

  • discontinued features

  • security incidents originating from third-party systems

Clients are responsible for maintaining any third-party accounts or subscriptions required for their business unless otherwise agreed.

27. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, The Branding Shop Co. is not liable for indirect, incidental, consequential, or special damages arising from the use or inability to use services or deliverables.

This may include lost profits, lost revenue, lost data, missed opportunities, business interruption, or third-party platform failures.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

28. RIGHT TO REFUSE, PAUSE, OR TERMINATE SERVICE

The Branding Shop Co. reserves the right to decline a project request before an engagement begins.

We may also pause or terminate an active engagement when circumstances include:

  • nonpayment

  • repeated boundary violations

  • harassment or abusive conduct

  • misrepresentation

  • failure to participate

  • unreasonable scope demands

  • illegal or prohibited activity

  • breakdown of the working relationship

  • other circumstances making continued service impractical

Any outstanding financial obligations remain subject to the applicable project agreement and payment terms.

29. FORCE MAJEURE

The Branding Shop Co. is not responsible for delays or inability to perform caused by events outside reasonable control.

These may include:

  • platform outages

  • internet or utility disruptions

  • natural disasters

  • illness or emergencies

  • government action

  • labor disruption

  • infrastructure failure

  • other unforeseen events

Timelines may be extended accordingly.

30. WEBSITE PROJECT-REQUEST DISCOUNT

The Branding Shop Co. may apply an automatic discount during the website project-request process that reduces the amount due at checkout to $0.

This discount exists solely to allow prospective Clients to submit selected custom services for review without making payment at the website checkout stage.

The discount:

  • does not mean the selected services are free

  • does not reduce the stated value of those services

  • does not create a promotional or complimentary-service entitlement

  • does not waive future payment obligations for an approved project

  • does not guarantee acceptance of the requested scope

Any final project investment will be confirmed separately after review.

31. WEBSITE PRICING

Pricing displayed on the website reflects the current listed investment for individual productized services unless otherwise stated.

Because the final project scope may be adjusted after review, the total displayed during the website request process is an estimated requested investment, not necessarily the final amount due.

Pricing may change over time.

Once a formal project scope has been issued and accepted, the pricing contained in that approved scope governs the engagement.

32. MODIFICATIONS TO THESE TERMS

The Branding Shop Co. may update these Terms periodically.

The applicable version is generally the version in effect when the relevant project agreement or paid engagement is accepted, unless otherwise required by law or agreed in writing.

Changes to these Terms do not retroactively alter an already executed agreement unless expressly agreed.

33. GOVERNING LAW

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute will be handled in accordance with applicable law and any dispute-resolution provisions contained in the Client’s final project agreement.

34. RELATIONSHIP BETWEEN THESE TERMS AND PROJECT AGREEMENTS

These Terms govern general interactions with The Branding Shop Co., including website use, project requests, communications, and services.

An approved project may also include a separate proposal, scope, payment authorization, contract, or project agreement.

When a Client accepts a separate project agreement, that agreement becomes part of the overall engagement.

If a project-specific agreement directly conflicts with these general Terms, the project-specific agreement will control for that particular engagement unless otherwise stated.

35. ENTIRE AGREEMENT

For active Client projects, the complete agreement between the parties may consist of:

  • these Terms of Service

  • the approved project scope or proposal

  • any signed project agreement

  • applicable payment authorization

  • referenced policies

  • approved written amendments

Together, these documents constitute the agreement governing the applicable engagement.

36. ACCEPTANCE

By submitting a project request, you acknowledge the project-review terms applicable to that submission.

By accepting a final project scope, signing an agreement, authorizing payment, making payment, or allowing work to begin, you confirm that you have read, understood, and agreed to the terms applicable to your engagement.

If you do not agree with these Terms, do not submit a project request, approve a project agreement, authorize payment, or engage The Branding Shop Co. for services.
